2015 SHAREHOLDER CONTRACT

To become a member of the NH Community Supported Fishery, please read this contract carefully.  You will be asked to confirm you have read it and that you agree to its content when you register for a share under our tab, "Sign up for a CSF/Buy Stock in NHCS."

 

1. No Sharing of Information: We will never sell or share your contact information shared on this site. It is solely for administrative purposes regarding your share.

2.  Support:  All membership levels include web support (www.NHCommunitySeafood.com) through recipes on line, video tutorials and emailed instructions on cleaning, cutting, preparing & freezing fish. 

3.  Distribution: Distribution (pick up) locations & times will be as specified on this site.  You will be notified well in advance if any changes in locations or times are to occur.  If you would like to permanently change your share drop-off location, please contact us.

4.  Additional Terms and Conditions:  PLEASE READ THE FOLLOWING SECTIONS CAREFULLY. WHEN YOU CHECKOUT ONLINE, YOU WILL BE ASKED IF YOU UNDERSTAND AND AGREE TO THESE TERMS.

  • The first session of the year begins May 18, 2015 and runs until June 28, 2015.
  • Please bring a cooler or insulated bag to carry home your seafood share. We will maintain your seafood shares at the proper temperature during distribution. We are not responsible for what happens to your share after you pick it up from the distribution site.
  • Your fish will be a fillet if a participant of the Groundfish Share. 
  • If you cannot make your scheduled pick up, please ask family, friends, or neighbors to pick up your share. Any unclaimed shares will be donated to local food pantries.  With at least 3 days notice, you can confirm a vacation hold, our website, in which case we will hold off on delivery of your fish the week of your absence and will extend your share season by 1 week at the end of the season. 
  • If someone else is picking up your share, please make sure they know your shareholder’s primary name on the contract and that they have a cooler or insulated bag to transport the share. All share pick-ups will require a signature on our pick-up lists next to the shareholder name.
  • If you miss a pick up, and do not make other arrangements, we cannot make up that missed share.

 

Please note, all New Hampshire Community Seafood CSF purchases are non-refundable.
Our “Catch of the Week” page on our website is a non-binding description of the seafood you are expected to receive that week. What gets distributed in our NH Community Seafood CSF share on any given day is up to Mother Nature.

 5.  Missed distributions on Our Part:  The safety of our fishermen is paramount. If a distribution is cancelled because of hazardous weather conditions or other extenuating circumstances, you will be notified by email. If we cancel a distribution, we will double-up to compensate the missed distribution on the next available week’s scheduled pick up. We can only compensate you for a missed share if we make an error.

6.  Membership Consent”  Because we operate as a cooperative, our Bylaws contain the following tax consent required by the Internal Revenue Service:  “Each person that hereafter applies for and is accepted to membership in this Corporation as a Member and each Member of this Corporation on the effective date of these Bylaws who continues as a Member after such date shall, by such act alone, consent that the amount of any distributions with respect to its patronage which are made in written notices of allocation (as defined in 26 U.S.C. § 1388) and which are received by the Member from the Corporation will be taken into account by the Member at their stated dollar amounts in the manner provided in 26 U.S.C. § 1385(a) in the taxable year in which such written notices of allocation are received by the Member, provided, however, that this consent shall not extend to written notices of allocation clearly denominated on their face to be ‘nonqualified.’”

If you choose to purchase a share of Class C Common Stock and become a Consumer Member of New Hampshire Community Seafood, by becoming a member you will agree to the tax consent.  Generally, the tax consent requires members of a cooperative to include patronage dividends they receive from a cooperative (including any written notices of allocation they may receive) in their taxable income.  However, the Tax Code provides an exception for members who purchase products from a cooperative for personal use.  Notwithstanding the consent, such persons are not required to include patronage dividends received from the cooperative in their taxable income to the extent they relate to purchases of products for personal use.  We anticipate that exception will apply to persons who choose to become Consumer Members and purchase fish for their own consumption. 

7.  Acknowledgement:  Member acknowledges and understands (i) that the issuance of shares of NHCS stock  has not been registered under the Securities Act of 1933 or the securities laws of any state, and (ii) that shares of NHCS stock are an incident of membership in NHCS and may not be transferred except to NHCS.

 

NEITHER THE FACT THAT A REGISTRATION STATEMENT OR AN APPLICATION FOR A LICENSE HAS BEEN FILED WITH THE STATE OF NEW HAMPSHIRE NOR THE FACT THAT A SECURITY IS EFFECTIVELY REGISTERED OR A PERSON IS LICENSED IN THE STATE OF NEW HAMPSHIRE CONSTITUTES A FINDING BY THE NEW HAMPSHIRE SECRETARY OF STATE THAT ANY DOCUMENT FILED UNDER NEW HAMPSHIRE RSA 421-B IS TRUE, COMPLETE AND NOT MISLEADING.  NEITHER ANY SUCH FACT NOR THE FACT THAT AN EXEMPTION OR EXCEPTION IS AVAILABLE FOR A SECURITY OR A TRANSACTION MEANS THAT THE NEW HAMPSHIRE SECRETARY OF STATE HAS PASSED IN ANY WAY UPON THE MERITS OR QUALIFICATIONS OF, OR RECOMMENDED OR GIVEN APPROVAL TO, ANY PERSON, SECURITY, OR TRANSACTION.  IT IS UNLAWFUL TO MAKE, OR CAUSE TO BE MADE, TO ANY PROSPECTIVE PURCHASER, CUSTOMER, OR CLIENT ANY REPRESENTATION INCONSISTENT WITH THE PROVISIONS OF THIS PARAGRAPH.

8.  Agreement with this contract.

I have read the terms of the NH Community Supported Fishery, 2015 Season Contract and agree to these terms.  I will confirm my agreement below at the on-line checkout.
